• Collections Services: Accepting payments through UPI, bank transfers, and other payment methods
• Distributions Services: Disbursing funds to beneficiaries through UPI and bank transfers
• API Integration: Technical integration services for businesses
• Dashboard and Reporting: Transaction monitoring and analytics tools

3. Eligibility and Account Registration

3.1 Eligibility

To use our Services, you must:

• Be at least 18 years old
• Have the legal capacity to enter into contracts
• Be a registered business entity in India
• Provide accurate and complete information during registration
• Comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is current and accurate

4. Use of Services

4.1 Permitted Use

You agree to use our Services only for lawful business purposes and in compliance with:

• All applicable laws and regulations
• Reserve Bank of India (RBI) guidelines
• Payment and Settlement Systems Act, 2007
• Anti-money laundering (AML) and Know Your Customer (KYC) requirements

4.2 Prohibited Activities

You agree NOT to use our Services to:

• Engage in fraudulent or illegal activities
• Process payments for prohibited goods or services (gambling, adult content, etc.)
• Violate intellectual property rights
• Transmit malware or harmful code
• Manipulate or interfere with the Services
• Use the Services for money laundering or terrorist financing
• Violate any sanctions or embargo restrictions

5. Fees and Payment Terms

5.1 Service Fees

We charge fees for our Services as outlined in your service agreement or on our pricing page. Fees may include:

• Transaction fees (percentage or fixed amount per transaction)
• Monthly subscription fees
• Setup or integration fees
• Additional service charges

5.2 Payment Processing

Fees are automatically deducted from your transactions or billed monthly. We reserve the right to adjust fees with 30 days' notice. All fees are non-refundable unless otherwise stated.

6. Transaction Processing and Settlement

6.1 Collections

For Collections services:

• Settlements are processed within T+1 to T+3 business days
• Funds are transferred to your designated bank account
• We reserve the right to hold funds for security or compliance reasons

6.2 Distributions

For Distributions services:

• You must maintain sufficient balance in your account
• Distributions are processed in real-time or batch mode
• Failed transactions may be retried or refunded

7. Refunds and Chargebacks

You are responsible for handling customer refunds and disputes. We may assist in chargeback management but are not liable for chargeback losses. Excessive chargebacks may result in account suspension or termination.

8. Compliance and Verification

We may require you to provide:

• Business registration documents
• Bank account verification
• KYC documentation for authorized signatories
• Tax identification numbers
• Additional information for compliance purposes

Failure to provide requested information may result in service suspension or termination.

9. Intellectual Property

All content, trademarks, logos, and intellectual property related to 888UPI.com are owned by us or our licensors. You may not use our intellectual property without prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the past 12 months
• We are not liable for third-party service failures or interruptions
• We do not guarantee uninterrupted or error-free service

11. Indemnification

You agree to indemnify and hold harmless 888UPI.com, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Termination

We may suspend or terminate your account:

• For violation of these Terms
• For fraudulent or suspicious activity
• If required by law or regulatory authorities
• At our sole discretion with or without notice

Upon termination, you remain liable for all outstanding fees and obligations.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

• Good faith negotiations
• Mediation if negotiations fail
• Arbitration in accordance with Indian Arbitration Act
• Jurisdiction: Courts in Mumbai, India

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through our platform. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
